          (1) Case Merits (一)基本案情
          In 2002, Northeast Petroleum University was approved by the State-owned Assets Supervision and Administration Commission of Heilongjiang Province to make a paid transfer of the state-owned assets on Anda Campus and the approved paid transfer price was CNY 65 million. From 2002 to 2003, Northeast Petroleum University and Shenzhen New Century Investment Development Co., Ltd. (hereinafter referred to as “Shenzhen New Century Company”) successively concluded a Letter of Intent for Transaction, an Agreement on Replacement, a Supplementary Agreement, and other contractual documents. After the contracts were concluded, Northeast Petroleum University delivered the assets on Anda Campus to Shenzhen New Century Company and completed the transfer formalities, and Shenzhen New Century Company paid the land transfer fee of CNY 30 million to the Land and Resources Bureau of Anda City and issued an acceptance bill of CNY 20 million to Northeast Petroleum University. In 2006, Northeast Petroleum University and Shenzhen New Century Company concluded the Minutes of Meeting, in which amendments were made to the implementation of the Agreement on Replacement and the Supplementary Agreement. It was stipulated in the Minutes of Meeting that the stadium project originally undertaken by Shenzhen New Century Company was changed to be constructed by Northeast Petroleum University itself and the fund of CNY 65 million originally used for the construction of the stadium would be paid in two steps: first, Shenzhen New Century Company would pay CNY 40 million cash by installment according to the project progress; and second, the remaining CNY 25 million would be paid by Shenzhen New Century Company in priority from the profits of subsequent construction projects under their cooperative development. If Northeast Petroleum University provided no subsequent project after Shenzhen New Century Company paid the construction fund of CNY 40 million, it would be deemed that the implementation of the aforesaid agreements had been completed. After the conclusion of the Minutes of Meeting, Shenzhen New Century Company no longer paid any fund to Northeast Petroleum University, and Northeast Petroleum University did not start the construction of the stadium and other projects on its new campus, and there was no examination and approval of such projects, either. Northeast Petroleum University filed a lawsuit, requesting the Higher People's Court of Heilongjiang Province to order Shenzhen New Century Company to pay the remaining transfer fund of CNY 45 million and the corresponding interest. 2002年,東北石油大學經黑龍江省國資委批復同意,有償轉讓安達校區國有資產,批復有償轉讓價格為6500萬元。2002年至2003年,東北石油大學與深圳新世紀公司先后簽訂了《買賣意向書》、《置換協議》、《補充協議》等合同文件。合同簽訂后,東北石油大學將安達校區資產交付給深圳新世紀公司并辦理了過戶手續,深圳新世紀公司向安達市國土資源局繳納了3000萬元土地出讓金,向東北石油大學出具了2000萬元的承兌匯票。2006年,東北石油大學與深圳新世紀公司簽訂《會議紀要》,對《置換協議》及《補充協議》的執行做出調整,約定原定由深圳新世紀公司承建的體育館工程改由東北石油大學自行建設,原用于體育館工程建設的6500萬元資金分兩步支付,第一步由深圳新世紀公司支付現金4000萬元,依照工程進度分期到位;第二步剩余的2500萬元由深圳新世紀公司在雙方后續合作開發工程項目盈利中優先支付。若東北石油大學提供不了后續項目,深圳新世紀公司付清4000萬元建設資金后,視為協議執行完畢!稌h紀要》簽訂后,深圳新世紀公司未再向東北石油大學支付任何資金,東北石油大學新校區體育館等工程仍未開工建設,亦未經審批立項。東北石油大學提起訴訟,請求判令深圳新世紀公司向東北石油大學支付剩余轉讓價款4500萬元及相應利息。
          (2) Adjudication (二)裁判結果
          After trial of the first instance, the Higher People's Court of Heilongjiang Province held that: As an institution of higher education, the assets of Northeast Petroleum University were state-owned assets and also public education resources. The stipulation on the conditioned fund payment of CNY 65 million in the Minutes of Meeting decreased the transaction price in a disguised form. Once the condition was met, Northeast Petroleum University would be able to dispose of the assets at a transaction price lower than the approved price. It not only violated the provisions on the assessment and disposal of state-owned assets of public institutions, but also impaired the public interests. Therefore, this stipulation should be determined as invalid. Accordingly, the Higher People's Court of Heilongjiang Province rendered a judgment, ordering Shenzhen New Century Company to pay Northeast Petroleum Company the remaining transfer fund of CNY 45 million and the corresponding interest. Shenzhen New Century Company refused to accept the judgment and appealed to the Supreme People's Court. 黑龍江省高級人民法院一審認為,東北石油大學作為高等院校,其資產既屬國有資產,同時也屬社會公共教育資源!稌h紀要》中關于6500萬元附條件式的資金支付約定,變相降低了資產處置的交易價格,一旦條件成就,將造成東北石油大學以低于核準價的交易價格處置資產的法律效果,違背了有關事業單位國有資產評估、處置之規定,同時也損害了社會公共利益,因此該約定無效。據此判決深圳新世紀公司向東北石油大學支付剩余轉讓價款4500萬元及相應利息。深圳新世紀公司不服,上訴至最高人民法院。
          ...... 最高人民法院第二巡回法庭審理認為,我國現行法律、行政法規并無有關學校國有資產處置的效力性強制性規范,不能將《國有資產評估管理辦法施行細則》、《行政事業單位國有資產處置管理實施辦法》、《黑龍江省行政事業單位國有資產管理暫行辦法》等文件作為認定合同無效的依據。東北石油大學轉讓安達校區固定資產,系其與深圳新世紀公司作為平等的民事主體在平等協商的基礎上自愿進行的有償轉讓,并沒有損害全體社會成員或者社會不特定多數人的利益,也沒有證據證明案涉資產的處分損害了東北石油大學的正常教學管理秩序或者學生正常接受學校教育的權利,案涉資產的處分既未損害社會公共秩序,也未損害社會的善良風俗。安達校區固定資產作為市場經濟商業交易活動中的交易標的物,其價格受到市場行情、開發利用價值以及當事人自身原因等多種因素的影響!稌h紀要》約定的附條件支付資金的條款是在當事人雙方前期合同履行情況的基礎上通過平等協商確定的,并無證據證明《會議紀要》的約定造成了國有資產流失。況且,2500萬元支付條件為雙方后續合作開發工程項目盈利,條件是否成就首先取決于東北石油大學而不是深圳新世紀公司。即便《會議紀要》約定的該條件未成就,2500萬元無需支付,也未損害全體社會成員或者社會不特定多數人的利益。東北石油大學系具備獨立法人資格的事業單位,具有相應的民事權利能力和民事行為能力,不宜將東北石油大學管理的國有資產利益等同于《中華人民共和國合同法》第五十二條所稱的國家利益或者社會公共利益。一審法院依據《中華人民共和國合同法》第五十二條第四項的規定,認為《會議紀要》的約定損害了社會公共利益,并進而認定《會議紀要》的該部分約定無效,適用法律錯誤。據此改判深圳新世紀公司向東北石油大學支付剩余轉讓價款2000萬元及相應利息。
